Welcome to Clip-Digital Marketing (“Clip-Digital Marketing,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, services, and related offerings. By engaging with our services, visiting our website, or otherwise interacting with us, you acknowledge and agree to be bound by these Terms. If you do not agree, please refrain from using our services.
These Terms constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Clip-Digital Marketing. We encourage you to review them thoroughly. If you are entering into this agreement on behalf of a company or other legal entity, you confirm that you have the authority to bind that entity to these Terms.
1. Scope of Services
Clip-Digital Marketing provides a comprehensive suite of digital marketing and development services, which may include:
- Video advertisement production
- Graphic design
- Website design and development
- UI/UX design
- Mobile app development
- Social media advertising
- SEO optimization
- Content marketing
- Email campaign management
- Other digital services as outlined in a project proposal or Statement of Work (“SOW”)
Services are delivered in accordance with the specifications detailed in the SOW, proposal, or signed contract. We reserve the right to modify or discontinue services with prior notice to active clients.
All services are subject to availability and may require client-supplied materials (e.g., brand assets, content, guidelines). Delays in providing these materials may impact timelines or incur additional fees.
2. Client Obligations
As our client, you agree to:
- Provide accurate, complete, and timely information, materials, and feedback
- Grant necessary permissions for any intellectual property or content used in the project
- Comply with all relevant laws, regulations, and third-party platform policies
- Review and approve deliverables within the agreed timeframe (typically 5–7 business days unless otherwise stated)
Failure to meet these obligations may result in project delays, additional charges, or termination of services.
3. Payment Terms
All service fees will be outlined in the SOW or invoice. We operate on a project-based payment structure to ensure transparency and alignment with project milestones.
3.1 Payment Structure
- Deposit: An upfront payment of 80% of the total project fee is required upon signing the SOW to initiate work.
- Final Payment: The remaining 20% balance is due upon project completion and approval, but no later than 7 days after final delivery.
- Additional Charges: Scope changes, extra revisions (typically beyond 2–3 rounds), rush requests, or out-of-scope tasks may incur additional fees at a predetermined hourly rate.
3.2 Payment Methods & Terms
- Accepted payment methods include bank transfer, credit card, cash, or other options specified in the invoice
- Payments are due within 7 days of invoice issuance unless otherwise agreed
- Late payments may incur a 1.5% monthly interest fee and suspension of services
- All fees are exclusive of applicable taxes, which are the client’s responsibility
- Refunds: Deposits are non-refundable except in cases of material breach by Clip-Digital Marketing. Refunds for completed work are at our sole discretion.
3.3 Currency & Pricing
Pricing is quoted in the client’s local currency unless otherwise specified. We reserve the right to adjust pricing for new projects. Fixed-price agreements will not be changed mid-project without mutual consent.
4. Intellectual Property
- Our IP: We retain ownership of all pre-existing tools, templates, and methodologies used in service delivery
- Client IP: You retain ownership of all content and intellectual property you provide
- Deliverables: Upon full payment, you receive a worldwide, non-exclusive, royalty-free license to use the final deliverables for your business purposes. Ownership of custom deliverables transfers to you upon final payment, subject to third-party licensing (e.g., stock assets)
- Usage Rights: You grant us permission to use your IP solely for service delivery and, with your consent, for portfolio or marketing purposes
Unauthorized use of our intellectual property may result in legal action.
5. Confidentiality
Both parties agree to maintain the confidentiality of sensitive information (e.g., business strategies, client data). We will not disclose such information without prior consent, except where required by law. This obligation remains in effect for five years following termination of services.
6. Warranties & Disclaimers
We warrant that our services will be delivered professionally and in line with industry standards. You warrant that any materials you provide do not infringe upon third-party rights.
Disclaimer: Except as expressly stated, all services are provided “as is” without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee specific outcomes (e.g., ad performance, SEO rankings), as these depend on external factors.
7. Limitation of Liability
In no event shall Clip-Digital Marketing be liable for indirect, incidental, special, consequential, or punitive damages—including loss of profits, data, or business opportunities—even if advised of such possibility. Our total liability shall not exceed the fees paid by you for the specific service in question within the preceding 12 months.
8. Indemnification
You agree to indemnify and hold harmless Clip-Digital Marketing, its employees, officers, and agents from any claims, losses, or damages arising from your breach of these Terms, your content, or your use of deliverables.
9. Termination
Either party may terminate services with 14 days’ written notice for ongoing contracts, or immediately in the event of a material breach (e.g., non-payment). Upon termination:
- You must pay for all completed work
- We will deliver any paid-for deliverables
- Sections 3 (Payment), 4 (IP), 5 (Confidentiality), 6 (Warranties), 7 (Liability), and 10 (Governing Law) will remain in effect
10. Updates to Terms
We may revise these Terms at any time. Updates will be posted on this page with the effective date. Continued use of our services after changes constitutes acceptance. For material changes affecting active projects, we will notify you via email.
11. Force Majeure
Neither party shall be held liable for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, war, or pandemics.
12. Miscellaneous
- These Terms represent the entire agreement and supersede prior understandings
- No waiver of any provision shall be considered a continuing waiver
- If any provision is found invalid, the remaining provisions remain enforceable
- You may not assign these Terms without our prior consent; we may assign them freely
